Terms of Use

Informal translation. This English version is provided for convenience only. Sigmais Rodovias operates under Brazilian law, and the Portuguese version is the sole legally binding text. Where the two differ, the Portuguese version prevails.

1. Acceptance

By accessing or using the Sigmais Rodovias platform (the sites sigmais.rodovias.online, auth.rodovias.online, www.rodovias.online and the related mobile application — the "Platform"), you fully agree to these Terms of Use and to the Privacy Policy, which is an inseparable part of this document. If you do not agree, do not use the Platform.

The Platform is operated by SIGMAIS RODOVIAS LTDA, CNPJ 68.400.386/0001-62, with its registered office at Juiz de Fora, Minas Gerais, Brasil ("Rodovias Online", "we").

2. Definitions

Client: the legal entity that enters into a commercial contract with Rodovias Online (a concession company or an authorised service provider).
User: the individual associated with the Client and authorised to access the Platform with individual credentials.
Visitor: anyone accessing the institutional site www.rodovias.online without authentication.
Content: any data, text, image, file or information entered into the Platform.

3. Registration and credentials

Authenticated access depends on prior registration performed by the Client's administrator. The User is responsible for keeping their credentials confidential and is accountable for all actions taken under their account. Sharing credentials or granting access to unauthorised third parties is prohibited.

4. Permitted use

The User undertakes to use the Platform exclusively for professional purposes related to the contract, in compliance with applicable law (in particular the LGPD, ANTT regulations and labour law) and respecting the role restrictions assigned to their account.

5. Prohibited conduct

The following are expressly prohibited:

Accessing, modifying, copying, distributing or destroying data you are not authorised to handle;
Reverse engineering, unauthorised vulnerability scanning, or attacks of any nature;
Introducing malicious code;
Using the Platform for unlawful purposes or in ways that infringe the rights of others;
Entering false, defamatory or discriminatory Content, or Content that infringes copyright;
Mass scraping, unauthorised automation, or overloading the service with requests;
Collecting third-party personal data without an adequate legal basis;
Using the Platform to compete with Rodovias Online;
Removing, hiding or altering legal notices, trade marks, logos or identifiers.

6. User and Client Content

The Client is the Controller of the personal data entered into the Platform. Rodovias Online acts as Processor, processing that data on the Client's instructions. The Client grants Rodovias Online a non-exclusive, royalty-free licence, limited to the term of the contract, to host and process the Content strictly as needed to provide the service. Rights in the Content remain with the Client.

7. Intellectual property in the Platform

All software, source code, design, trade marks, logos and documentation are the exclusive property of Rodovias Online or its licensors, protected by Brazilian Laws no. 9,610/1998 and 9,279/1996. These Terms grant only a limited, non-exclusive, non-transferable and revocable licence to use.

8. Availability and support

The Platform is provided "as is" and "as available". Rodovias Online will use commercially reasonable efforts to keep it available, subject to the contractual SLA where applicable. Emergency maintenance may occur without prior notice.

9. Suspension and termination

Rodovias Online may suspend access in cases of suspected misuse, non-payment, court order, or an urgent need for protection. Termination follows the terms of the commercial contract. We guarantee data portability before deletion.

10. Limitation of liability

To the maximum extent permitted by law, Rodovias Online is not liable for indirect damages, loss of profits, data loss, acts of third parties, unavailability due to force majeure, Content entered by Users, or decisions made by the Client on the basis of information generated by the Platform. Any civil liability is limited to the amount paid by the Client over the 12 (twelve) months preceding the event, except where the law prohibits such a limitation.

11. Indemnity

The User and the Client agree to indemnify and hold harmless Rodovias Online, its officers, staff and sub-processors against any claims arising from misuse of the Platform or breach of these Terms.

12. Amendments

Rodovias Online may amend these Terms at any time. Material changes will be communicated to authenticated Users at least 30 (thirty) days in advance. Continued use constitutes tacit acceptance.

13. Electronic communications

The User agrees to receive operational communications by email, in-app messages or through the mobile application. Strictly legal communications are deemed valid when sent to the registered email address.

14. General provisions

The User and the Client may not assign rights under these Terms without the written authorisation of Rodovias Online. The invalidity of any provision does not affect the remainder. Tolerance of a breach does not constitute waiver. These Terms, together with the Privacy Policy, the Cookie Policy and the commercial contract, constitute the entire agreement between the parties.

15. Governing law and jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil. The parties elect the courts of the district of Juiz de Fora, Minas Gerais to settle any dispute arising from these Terms, expressly waiving any other.
